Harris Teeter Plus Membership Terms & Conditions

Welcome to HT Plus Membership ("HT Plus") operated by Harris Teeter, its affiliates and/or subsidiaries (together, "Harris Teeter", “We”, or "Us"). These Terms & Conditions (“HT Plus Terms”) govern our respective rights and obligations with respect to your enrollment and participation in HT Plus.

These HT Plus Terms are in addition to our general website and app terms and conditions and other terms and conditions that govern specific programs, features, applications, products, or services made available by or through us. With respect to HT Plus, to the extent there is a conflict between these HT Plus Terms and any of our other terms and conditions, these HT Plus Terms will control.

THESE HT PLUS TERMS INCLUDE A BINDING ARBITRATION CLAUSE AND A CLASS ACTION WAIVER IN THE SECTION TITLED GOVERNING LAWS IN CASE OF DISPUTE; ARBITRATION; JURISDICTION. THIS PROVISION AFFECTS YOUR RIGHTS TO RESOLVE DISPUTES WITH US AND YOU SHOULD REVIEW IT CAREFULLY. YOUR CHOICE TO SIGN UP FOR HT PLUS CONSTITUTES YOUR AGREEMENT TO THESE HT PLUS TERMS AND OUR PRIVACY POLICY, WHICH IS INCORPORATED INTO THE HT PLUS TERMS. IF YOU DISAGREE WITH ANY PART OF THE HT PLUS TERMS, THEN YOU ARE NOT PERMITTED TO SIGN UP FOR OR PARTICIPATE HT PLUS.

Harris Teeter Plus Enrollment

HT Plus enrollment is open to Harris Teeter VIC loyalty card members who complete the enrollment online and payment of the $8.99, $12.99, $69, or $99 fee (plus applicable taxes). Payment can be made via credit or debit card. The delivery and Fuel Point bonus benefits should be active for all eligible transactions within 1 hour following payment of the non-refundable enrollment fee. Customers who enroll in HT Plus will receive information about activating exclusive offers available to HT Plus members 24 hours after HT Plus enrollment.

Harris Teeter Plus Cancellation

You may cancel your participation in HT Plus at any time by contacting Harris Teeter Customer Relations at 1-800-432-6111. Cancellation will not result in a refunded credit. Any credit issued will be at the sole discretion of Harris Teeter.

Benefits and Eligible Purchases

The provided benefits of HT Plus are available only to you and immediate members of your household. As with other Loyalty program benefits, you must provide your VIC loyalty card information at the time of transaction to receive the benefits outlined below.

HT Plus ($12.99 / $99) Benefits

• Free deliveries on orders over $35 delivered in as little as 2 hours

• Waived delivery service fees for delivery totaling $35 or more at participating stores and in areas where delivery is available. Express Delivery available for $4.95/order.

• 2X Fuel Points for every dollar spent on groceries and general merchandise

• $1 in spending = 1 Fuel Point + 1 bonus Fuel Point. Includes all qualifying purchases made in store, curbside pickup and delivery. See Other limitations for details on excluded items. Bonus Fuel Points do not apply to Harris Teeter Ship orders.

• Accepted at all participating Harris Teeter stores and participating Kroger Family of Stores.

HT Plus Essential ($8.99 / $69) Benefits

• Free deliveries on orders over $35 with next day delivery times

• Not applicable to same-day delivery order time slots

• Waived delivery service fees on every order for delivery totaling $35 or more at participating stores and in areas where delivery is available.

• 2X Fuel Points for every dollar spent on groceries and general merchandise

• $1 in spending = 1 Fuel Point + 1 bonus Fuel Point. Includes all qualifying purchases made in store, curbside pickup and delivery. See Other limitations for details on excluded items. Bonus Fuel Points do not apply to Harris Teeter Ship orders.

Free Trial

Your membership to HT Plus may begin with a free thirty (30) day trial membership (“Free Trial”). Availability of a Free Trial is not guaranteed and, if one is available, is only available on the specified terms set forth herein. Your Membership Fee payment along with applicable taxes will be charged to your chosen payment method for the HT Plus membership you selected at the time of your registering for the Free Trial immediately following expiration of the Free Trial, unless cancelled in accordance with the instructions for cancellation below. You can cancel your HT Plus Membership at any time before the end of your Free Trial. You will not receive a separate notice that your free trial is about to end or has ended, or that your paid subscription to HT Plus has begun, unless required by law in particular jurisdictions or instances. We will begin billing the same payment method we otherwise have on-file for your HT Plus membership at the then-current price after your Free Trial ends unless you cancel prior to the end of your Free Trial. Members of households with an existing or recent HT Plus membership, including free or promotional memberships, may not be eligible for a Free Trial. Not all benefits are included in the Free Trial, certain member exclusive offers and benefits are excluded from the Free Trial.

Auto Renewal

UNLESS YOU CANCEL, BY DEFAULT (AND WITH PRIOR NOTICE TO THE EXTENT REQUIRED BY APPLICABLE LAW), YOUR HT PLUS MEMBERSHIP WILL AUTOMATICALLY RENEW, AND THE APPLICABLE MEMBERSHIP FEE ALONG WITH APPLICABLE TAXES WILL BE AUTOMATICALLY CHARGED TO YOU AT THE TIME OF RENEWAL WITH A CREDIT OR DEBIT CARD ON FILE. Your membership will renew on your set renewal date. To avoid charges, you will need to cancel your membership prior to that date. In certain circumstances, your billing date may change. For instance, if we are unable to successfully charge your card for the HT Plus membership fee on a given day (e.g., a Federal holiday or technical failures).

If your payment details change, your card provider may provide us with updated card details. We may use these new details or details from other cards on file in order to help prevent any interruption to your HT Plus membership. If you do not want to have your card automatically updated, you can opt out of these services by contacting your issuing bank. All billing information you provide to us must be truthful and accurate and you represent that you are authorized to use the card in the manner contemplated here. If the card you provided to us for payment is declined or if a payment was not successfully made by you, you remain responsible for any uncollected amounts. If a payment is not successfully made and you do not cancel your account, we may suspend your access to the Services, including without limitation your HT Plus membership, until we have successfully charged a valid credit or debit card.

If you do not want your membership to automatically renew, you can cancel auto-renewal of your HT Plus membership at any time using the link or on your “My HT Plus Membership” page. You may cancel your HT Plus membership by contacting Harris Teeter Customer Relations at 1-800-432-6111 within the first seven (7) calendar days of your paid HT Plus membership renewal term and receive a refund of the HT Plus membership fee you paid, but only if you have not placed any delivery orders using your HT Plus membership. If you cancel at any other time, you will not receive a refund, but you can continue to enjoy the benefits of your HT Plus membership through the end of your paid membership term. Streaming benefit terms and conditions

Valid only for new and returning Disney+, Hulu, or ESPN+ streaming service subscribers with no current active entitlement, who are 18 years of age or older. U.S. only. Offer starts September 30, 2024. Your subscription will begin upon activation. This benefit is limited to a subscription to one of the Disney+ Basic (With Ads), Hulu (With Ads) or ESPN+ plans. Except as otherwise provided herein, you must remain on an eligible HT Plus plan to retain offer.

HT Plus $69 Members

HT Plus $69 members will be eligible for a six-month subscription to a Disney+ Basic (With Ads), Hulu (With Ads) or ESPN+ on us. You can activate the benefit via your HT Plus membership management page. Credit/debit card will be required. Upon redeeming the $69 offer, you will be enrolled in an auto-renewing monthly subscription. You will be charged the then-current retail price (plus tax, where applicable) on a monthly basis beginning at the end of your promotional offer unless you cancel your subscription before then. Cancel anytime, through your streaming service account settings or by contacting Disney, Hulu or ESPN, effective at the end of your billing period. Not redeemable for cash or any other goods or services.

HT Plus $99 Members

HT Plus $99 members will be eligible for a subscription to a Disney+ Basic (With Ads), Hulu (With Ads) or ESPN+ on us. You can activate the benefit via your HT Plus membership management page. After redeeming this benefit, if you would like to cancel your streaming benefit, please contact Harris Teeter. Cannot be combined with any other offers, coupons, discounts or promotions. Not redeemable for cash or any other goods or services.

All HT Plus Members

If you are an existing Disney+, Hulu or ESPN subscriber, you may redeem one of the other subscriptions that you do not have.

Your use of Disney+ and ESPN+ is subject to the Disney+ and ESPN+ Subscriber Agreement and your use of Hulu is subject to the Hulu Subscriber Agreement. Limit one redemption per qualifying HT Plus membership. If a HT Plus household is dehouseholded (meaning an account splits into more than one account), and the streaming benefit has not yet been redeemed, access will only be available to the loyalty ID that enrolled in HT Plus. If the streaming benefit has been redeemed, access will go to both the loyalty ID that enrolled in HT Plus and the loyalty ID that redeemed the streaming benefit. The Walt Disney Company is responsible for all content provided through Disney +, Hulu and ESPN+, and Harris Teeter takes no responsibility therefor.

Harris Teeter reserves the right to make this limited-time offer/member benefit available to paid members, to remove or disable an offer or benefit at any time, to limit redemption quantities of any offer or benefit, to shorten or lengthen the time to claim or redeem the offer or benefit, and to revise eligibility requirements to claim or redeem an offer or benefit (other than the requirement to be an active annual HT Plus member to claim an offer or benefit). HT Plus monthly and trial members are excluded from this offer. If this offer is modified or terminated for any reason, The Walt Disney Company shall not be obligated to accept redemptions or any further attempts to redeem the benefit. If this offer is terminated for any reason, you will no longer have access to Disney+, Hulu or ESPN+ included with your HT Plus membership. This benefit may not be exchanged for credit, refunded, or applied toward other Harris Teeter or HT Plus benefits.

HT Plus terms apply. With HT Plus, delivery fee will not be charged on orders over $35, delivery subject to availability. Fees, taxes, and/or tips may still apply. MEMBERSHIP AUTO-RENEWS FOR EITHER $69/YEAR or $99/YEAR, OR UNDER YOUR EXISTING HT PLUS MEMBERSHIP TERMS, TO PAYMENT METHOD ON FILE. Cancel anytime; you will only receive a refund if you cancel within 7 days of paid membership term, and you have not placed a delivery order during the 7-day period. Harris Teeter may modify or terminate additional benefits at any time. Only the digital account owner can activate the Disney+, Hulu or ESPN+ offer. HT Plus may not be available in all zip codes.

Exclusions and Other Limitations

• We reserve the right to accept or refuse HT Plus at our discretion.

• As a participant in HT Plus, by your payment and continued enrollment you acknowledge that Harris Teeter may send you emails, and other communications related to the HT Plus membership.

• HT Plus benefits can only be used by person(s) in your immediate household who use your Harris Teeter VIC loyalty card or Alternate ID. Household members are defined as person(s) currently living at the same address.

• All Harris Teeter Associates are held to the same policies, procedures, and rules as listed in the General Office Associate Handbook; specifically, refer to the sections titled “VIC Associate Loyalty Card Program” and “VIC Card Associate Policy”. Please contact the Human Resources Department if you’d like to obtain a copy of the detailed verbiage. Any violation or abuse could result in disciplinary action up to and including termination.

• HT Plus participants are not permitted to purchase products subject to this program for resale, rental, or to ship to customers or potential customers.

• Bonus Fuel Points are excluded on Gift Cards, Adult beverages and Tobacco products, Pharmacy prescriptions, Booth Services, Harris Teeter® Ship, The Little Clinic®, Fred Meyer Direct®, Fred Meyer Jewelry®, Vitacost®, homechef.com, murrayscheese.com, Fuel purchases, receipt message survey invitation, HT Plus membership fees, money services, lottery tickets, postage stamps or delivery tips. See FAQs for more details. Items ordered on Harris Teeter Ship do not qualify for Bonus Fuel Points.

• From time to time, Harris Teeter may choose in its sole discretion to add or remove HT Plus benefits.

• Only one HT Plus membership per household during the same enrollment period. If more than one customer within a household purchases HT Plus, then the additional memberships will be refunded.

• HT Plus Next-day Delivery ($69) members who are interested in upgrading to HT Plus Same-day Delivery ($99) should update their membership on the “My HT Plus Membership” page.

Privacy

Unless otherwise indicated in these HT Plus Terms, by registering for and/or otherwise participating in HT Plus, you agree that Harris Teeter will use the personal information collected about you in connection with HT Plus as set forth in Harris Teeter’s Privacy Policy.

HT Plus may be considered a financial incentive under California law and a bona fide loyalty program under Colorado law. If you are a California or a Colorado resident, you opt in and consent to the terms described in our California Notice of Financial Incentive or our Colorado Loyalty Program Disclosures.

If you wish to withdraw your consent and opt out of our VIC loyalty card program, you can contact Harris Teeter’s Customer Relations Team by telephone at 1-800-432-6111.

Agreement Changes

We may in our discretion change these HT Plus Terms (or any other of our terms and conditions) without notice to you. All changes are effective immediately when we post them and apply to all access to and use of the HT Plus program thereafter. However, any changes to the dispute resolution provisions set out in (GOVERNING LAWS IN CASE OF DISPUTE; ARBITRATION; JURISDICTION) will not apply to any disputes for which the parties have actual notice on or before the date the change is posted. If any change to these terms is found invalid, void, or for any reason unenforceable, such change is severable and will not affect the validity and enforceability of any remaining changes or conditions. YOUR CONTINUED USE OF HT PLUS AFTER WE CHANGE THESE HT PLUS TERMS CONSTITUTES YOUR ACCEPTANCE OF THE CHANGES. IF YOU DO NOT AGREE TO ANY CHANGES, YOU MUST CANCEL YOUR HT PLUS MEMBERSHIP.

Termination by Us

We may terminate your participation in HT Plus at our discretion without notice. If we do so, we will credit to your Harris Teeter VIC loyalty card a prorated refund. The credit does not expire and is good on your next shopping visit to any Harris Teeter stores (excluding Murrayscheese.com, HomeChef.com, Vitacost.com, or Harris Teeter Ship.). Your Harris Teeter VIC loyalty card or Alt ID must be presented and used during the transaction to receive the credit.

However, we will not give any refund for termination related to conduct that we determine, in our discretion, violates these Terms or any applicable law, involves fraud or misuse of HT Plus, or is harmful to our interests or another user. Our failure to insist upon or enforce your strict compliance with these HT Plus Terms will not constitute a waiver of any of our rights.

GOVERNING LAWS IN CASE OF DISPUTE; ARBITRATION; JURISDICTION.

RESOLUTION OF CLAIMS OR DISPUTES. Any claim or dispute between you and Harris Teeter arising out of or relating in any way to your use of the HT Plus Terms must be resolved through final, binding arbitration. This arbitration obligation applies regardless of whether the claim or dispute involves a warranty, tort, fraud, misrepresentation, product liability, negligence, violation of a statute, or any other legal theory.

WAIVER OF RIGHT TO BRING CLAIMS IN COURT AND TO HAVE THEM HEARD BY A JUDGE AND JURY. You specifically acknowledge and agree that you waive THE right to bring a lawsuit IN COURT based on ANY claims or disputes DESCRIBED IN THE PARAGRAPH ABOVE, and to have such lawsuit resolved by a judge or jury TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

LIMITATION OF LEGAL REMEDIES. All arbitrations under the HT Plus Terms shall be conducted on an individual (not a class-wide) basis, and an arbitrator shall have no authority to certify a class or award class-wide relief. You acknowledge and agree that with regard to any claims relating in any way to the Sites, you may not seek to, and an arbitrator or court may not, join or consolidate your claims with any other similar claims and you agree you will not proceed in any court or arbitration proceedings as a representative of others, join in any court or arbitration proceedings brought by any other person, and understand that you may not be included as a member of any class that may be certified by a court or arbitrator. Your waivers of your rights to bring or participate court proceedings and as a representative or member of a class applies specifically, but is not limited to, claims brought under Ohio’s Unfair and Deceptive Trade Practices Act, California’s Unfair Competition Law, False Advertising Act and its Consumer Legal Remedies Act, and any other state consumer protection laws.

ARBITRATION PROCEDURES.

Before commencing any arbitration proceedings under the HT Plus Terms, you must first present your claims or disputes to Harris Teeter by calling 1-800-432-6111 and asking for the Customer Relations department and allowing Harris Teeter the opportunity to resolve the claims or disputes. If your claims or disputes are not resolved within sixty (60) days, you may commence arbitration proceedings in accordance with the HT Plus Terms.

The arbitration of any claim or dispute hereunder shall be conducted pursuant to the American Arbitration Association’s (“AAA”) United States Commercial Dispute Resolution Procedures, which are available by calling the AAA, at 1-800-778-7879, or by visiting its web site at www.adr.org.

The arbitration of any claims or disputes hereunder shall be conducted in the State of Ohio.

All administrative expenses of arbitration proceedings commenced hereunder shall be paid by Harris Teeter.

ATTORNEYS FEES. You acknowledge and agree that each party shall pay the fees and costs of its own attorneys, experts, and witnesses incurred in connection with any arbitration or court proceeding between the parties notwithstanding any prevailing party’s attorneys’ fees provision a part of any statute under which you may bring a claim.

CHOICE OF LAW. The HT Plus Terms shall be governed by the United States Federal Arbitration Act and the laws of the state of Ohio. The validity, effect, and enforceability of the arbitration provisions of the HT Plus Terms and of the waiver of class action lawsuit and waiver of class-wide arbitration, if challenged, are to be determined solely by a court of competent jurisdiction and not by an arbitrator.

Limitation of Liability

IN ADDITION TO OTHER LIMITATIONS AND EXCLUSIONS IN HARRIS TEETER.COM'S CONDITIONS OF USE, IN NO EVENT WILL WE OR OUR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS OR OTHER REPRESENTATIVES BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND, ARISING OUT OF OR RELATED TO PAID TIER. OUR TOTAL LIABILITY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, WILL NOT EXCEED THE LAST PAID TIER ENROLLMENT FEE YOU PAID. THESE EXCLUSIONS AND LIMITATIONS OF LIABILITY WILL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND WILL SURVIVE CANCELLATION OR TERMINATION OF YOUR PAID TIER. CERTAIN STATE LAWS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS. THE PAID TIER AND ALL SERVICES INCLUDED OR MADE AVAILABLE TO YOU THROUGH THE PAID TIER ARE PROVIDED BY HARRIS TEETER ON AN "AS IS" AND "AS AVAILABLE" BASIS, UNLESS OTHERWISE SPECIFIED IN WRITING. HARRIS TEETER MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE PAID TIER SERVICES, UNLESS OTHERWISE SPECIFIED IN WRITING. TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, HARRIS TEETER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
